Agreement
Please read these Terms of Service ("Terms") carefully before using www.ebos-sg.com, https://corpsec.app-prokakis.com or any services offered by EBOS ADVISORY PTE. LTD., EBOS SG PTE. LTD. AND EBOS ADVISORY PTE. LTD.
These Terms become effective when you click "I Accept", check an agreement box, or use any of our Services or Websites. You must be legally able to enter contracts and, if representing an entity, have the authority to bind that entity to these terms.
Access Fees & Services
You agree to pay all fees and charges specified in your Service Order. You're responsible for all applicable taxes, including sales, use, and value-added taxes, but not taxes on our income.
Subscription Credit Services
Proprietary software programs and systems accessed through ASP model on annual or multi-year basis.
Managed Services
Custom services and deliverables purchased on a requirement basis to meet your specific needs.
Use of Services
You're responsible for controlling access to your account, including creating secure passwords and preventing unauthorized usage. Immediately notify us of any security breaches.
Unacceptable Usage
You're solely responsible for all data and liable for your content. We reserve the right to remove data violating these terms and suspend accounts without notice for violations.
You must comply with all relevant laws regarding privacy, data protection, and spam. You cannot send messages to individuals who have opted out or objected to receiving communications.
Software & Intellectual Property
We own all rights, title, and interest in the Services, related software, technology, and content, including all intellectual property rights. Nothing grants you license to use our trademarks without written permission.
We exclusively own all suggestions, ideas, enhancements, feedback, and recommendations you provide during service use. We reserve rights to include all hosted website traffic in our overall usage measurements.
Confidential Information
"Confidential Information" includes these Terms, Service Orders, business plans, trade secrets, data, and any information reasonably understood to be confidential.
Both parties will use commercially reasonable efforts to ensure confidentiality, integrity, and security of all Confidential Information using appropriate technology and industry practices.
Indemnification
You indemnify us against all claims, costs, damages, and losses arising from your breach of these Terms or obligations, including costs for recovering unpaid Access Fees.
Termination
We may suspend or terminate your service access anytime for Terms violations. Upon termination, you must pay all outstanding fees within thirty (30) days.
Our Liability & Disclaimers
Service Changes
We may change, suspend, or discontinue any service aspect anytime without notice or liability, including hours of operation or availability.
User Disputes
We're not responsible for disputes between you and third parties. You assume all risks and agree to resolve disputes independently without involving us.
Content Accuracy
We make no representations about accuracy, reliability, completeness, or timeliness of service contents or third-party data. You use services at your sole risk.
Warranty Disclaimer
Services are provided "as is" and "as available." We disclaim all warranties, express or implied, including merchantability, fitness for particular purpose, and non-infringement.
We make no warranty that:
- Services will meet your requirements
- Services will be uninterrupted, timely, secure, or error-free
- Results will be accurate or reliable
- Service quality will meet expectations
- Service errors will be corrected
Additional Terms
Entire Agreement
These Terms, together with our Privacy Policy and related notices, constitute the complete agreement between parties, superseding all prior agreements.
Assignment & Modifications
You cannot assign rights without our written consent. We may modify these Terms anytime by posting revisions or sending email notifications. Continued service use indicates acceptance.
Severability & Waiver
If any provision is invalid, it will be modified minimally to become valid or severed without affecting remaining provisions. Our failure to enforce provisions doesn't constitute waiver.
Dispute Resolution
Dispute resolution proceedings will be conducted individually, not as class, consolidated, or representative actions. Both parties waive jury trial rights.

By using our services, you acknowledge reading and understanding these Terms and consent to personal data collection, use, and disclosure as outlined in our Privacy Policy.
